Welcome to Tile. This Privacy Policy explains how Apptile Inc (“Tile,” “we,” “us,” or “our”) collects, uses, discloses, and safeguards information when you access or use our mobile-app design and development platform at https://tile.dev (the “Platform”). By creating an account, subscribing, or otherwise interacting with the Platform, you acknowledge the practices set out below.

This Privacy Policy explains how Apptile Inc (“Tile,” “we,” “us,” or “our”) collects, uses, discloses, and safeguards information when you access or use our mobile-app design and development platform at https://tile.dev (the “Platform”). By creating an account, subscribing, or otherwise interacting with the Platform, you acknowledge the practices set out below.

1 Eligibility & Accounts

You must be at least 18 years old (or the age of legal majority in your jurisdiction) and able to form a binding contract to use the Platform.

• Login credentials (user IDs, passwords, API keys) are personal to you or—if you are an organization—to your authorized employees and contractors (“Permitted Users”). You are responsible for all activities that occur under your credentials and must notify Tile promptly of any unauthorized use or security breach.

2. Subscriptions, Fees & Payment

Access to certain features requires a paid subscription. Current plan tiers, usage limits, and prices are shown on the checkout page.

  1. Fees are charged in U.S. dollars and are exclusive of applicable taxes.

  2. Subscriptions renew automatically for successive terms unless you cancel through your account dashboard before the end of the current term.

  3. We may suspend or terminate your access for non-payment.

3. License & Access Rights

While your subscription is active, Tile grants you a limited, non-exclusive, non-transferable right for Permitted Users to access and use the Platform solely for your internal business purposes and in accordance with these Terms.

4. Acceptable Use

WYou and your Permitted Users agree not to:

  • Rent, lease, sublicense, or provide the Platform to anyone outside your organization;

  • Reverse engineer, decompile, or disassemble any part of the service except where expressly permitted by law;

  • Copy, modify, or create derivative works of the Platform or documentation;

  • Remove proprietary notices or branding;

  • Use the Platform to build or market a competing product or service;

  • Publicly disclose benchmarks or performance data without our prior written consent;

  • Upload unlawful, infringing, or harmful content, or use the Platform in violation of any applicable law or regulation.

Tile may suspend or terminate your access—after reasonable notice—if necessary to prevent material harm, address security risks, or remedy a serious breach of this section.

5. Customer Content & Data

All data, code, media, and materials you upload or generate in the Platform (“Customer Content”) remain yours.

  1. You grant Tile and its subprocessors a worldwide, royalty-free license to host, copy, transmit, display, and process Customer Content solely to provide and improve the services.

  2. You represent and warrant that you have all rights necessary to provide Customer Content and that its use by Tile does not violate any law or third-party rights.

6. Intellectual Property

6.1  Platform IP

Tile and its licensors retain all right, title, and interest in the Platform, underlying software, and related documentation. Except for the limited license granted in Section 3, no other rights are granted to you. If you submit suggestions or feedback, Tile may use them without restriction or obligation to you.

6.2  User Ownership of Generated Code

The Platform may generate software source code, configuration files, scripts, or other output for use in your applications (“Generated Code”). All intellectual-property rights in and to the Generated Code belong to you. Tile claims no ownership over such output.

You grant Tile a limited, non-exclusive license to store, run, and process the Generated Code solely to operate the Platform and provide support. You are responsible for reviewing the Generated Code, ensuring its suitability, and complying with all

7. Confidentiality

Each party may receive non-public, proprietary information (“Confidential Information”) from the other. The receiving party will (i) protect it with at least the same care it uses for its own confidential data (and no less than reasonable care); (ii) use it only to exercise rights or perform obligations under these Terms; and (iii) disclose it only to employees or service providers who need to know and are bound by similar confidentiality obligations. These obligations do not apply to information that is publicly available, independently developed, rightfully obtained without restriction, or required to be disclosed by law (with prompt notice where legally permitted).

8. Privacy & Security

Tile’s collection and use of personal data are described in the Tile Privacy Policy. We implement industry-standard technical and organizational measures (including encryption in transit and at rest, access controls, and regular security testing) designed to protect Customer Content and personal data from unauthorized access, loss, or alteration.

9. Availability & Support

Tile will use commercially reasonable efforts to maintain the availability of the Platform, subject to scheduled maintenance and events beyond our reasonable control (e.g., internet outages, force majeure). Support channels and response targets, if any, are described on the Platform.

10. Termination

  1. By You. You may cancel your subscription at any time through your account settings; cancellations take effect at the end of the then-current subscription term.

  2. By Tile. We may terminate or suspend your access (a) immediately for a material breach that cannot be remedied; (b) after 30 days’ written notice if you fail to cure any other material breach; or (c) upon reasonable notice if required by law or to protect the security or integrity of the Platform.

Upon termination or expiration, your licenses end and you must cease all use of the Platform. On written request made within 30 days after termination, we will provide a copy of your Customer Content and Generated Code in a standard format.

11. Disclaimer of Warranties

Except as expressly stated in these Terms, the Platform and all related services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Indirect Damages. Neither party will be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or related to the Platform, even if advised of the possibility.

  • Cap on Direct Damages. Each party’s total cumulative liability for all claims arising in any 12-month period will not exceed the total fees you paid to Tile for the services in that same period.

These limitations do not apply to liability for willful misconduct, fraud, or breaches of confidentiality or intellectual-property obligations

13. Indeminification

Tile will defend and indemnify you against third-party claims that the unmodified Platform directly infringes a U.S. patent, copyright, or trademark, provided you promptly notify Tile, allow Tile sole control of the defense, and reasonably cooperate. If the Platform is found to infringe, Tile may (at its option) procure a license, replace or modify the service, or terminate your subscription and refund unused prepaid fees.

14. Governing Law & Venue

These Terms are governed by the laws of the United States and the State of Washington, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the Platform will be litigated exclusively in the state or federal courts located in Seattle, Washington, and each party consents to the jurisdiction of those courts.

15. Changes to These Terms

Except as expressly stated in these Terms, the Platform and all related services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.

The Platform is not directed to individuals under 16. We do not knowingly collect data from minors. If we learn such information has been provided, we will delete it promptly.
